This bill serves to implement Directive <\/em><a href=\"https:\/\/eur-lex.europa.eu\/legal-content\/EN\/TXT\/?uri=CELEX%3A32019L2121\" rel=\"nofollow noopener\" target=\"_blank\"><em>2019\/2121\/EU<\/em><\/a><em>, through which the European Commission aims to improve the mobility of capital companies and promote freedom of establishment within the EU. On June 1<sup>st<\/sup>, the House of Representatives adopted the proposal.<\/em><\/p>\n<\/div><\/div><\/div><\/div><div class=\"et_pb_row_1 et_pb_row et_block_row\"><div class=\"et_pb_column_1 et_pb_column et_pb_column_1_2 et_block_column et_pb_css_mix_blend_mode_passthrough\"><div class=\"et_pb_image_0 et_pb_image et_pb_module et_block_module\"><span class=\"et_pb_image_wrap\"><img decoding=\"async\" src=\"https:\/\/www.everestnotariaat.com\/wp-content\/uploads\/2022\/03\/foto-blog-grensoverschrijdende-constucties.jpg\" title=\"foto blog - grensoverschrijdende constucties\" \/><\/span><\/div><div class=\"et_pb_text_1 et_pb_text et_pb_bg_layout_light et_pb_module et_block_module\"><div class=\"et_pb_text_inner\"><p><span style=\"color: #ff9900;\"><strong>Delayed implementation of the directive<\/strong><\/span><br \/>The directive required member states to implement its provisions in national legislation by January 31<sup>st<\/sup> 2023. The Netherlands failed to meet this deadline. The Lower House Committee for Justice and Security only presented its <span style=\"text-decoration: underline;\"><span style=\"color: #3366ff; text-decoration: underline;\"><a style=\"color: #3366ff; text-decoration: underline;\" href=\"https:\/\/zoek.officielebekendmakingen.nl\/dossier\/kst-36267-5.html\" rel=\"nofollow noopener\" target=\"_blank\">report<\/a><\/span><\/span> regarding the bill on January 26<sup>th<\/sup>. Minister of Legal Protection Weerwind responded in a <span style=\"text-decoration: underline;\"><span style=\"color: #3366ff; text-decoration: underline;\"><a style=\"color: #3366ff; text-decoration: underline;\" href=\"https:\/\/www.rijksoverheid.nl\/documenten\/rapporten\/2023\/04\/24\/tk-bijlage-1-nnavv-implementatiewet-richtlijn-grensoverschrijdende-omzettingen-fusies-en-splitsingen\" rel=\"nofollow noopener\" target=\"_blank\">note<\/a> <\/span><\/span>on April 24<sup>th<\/sup> 2023, after which the bill was adopted by the House of Representatives on June 1<sup>st<\/sup>. It is now up to the Senate to consider the proposal.<\/p>\n<\/div><\/div><\/div><div class=\"et_pb_column_2 et_pb_column et_pb_column_1_2 et-last-child et_block_column et_pb_css_mix_blend_mode_passthrough\"><div class=\"et_pb_text_2 et_pb_text et_pb_bg_layout_light et_pb_module et_block_module\"><div class=\"et_pb_text_inner\"><p><span style=\"color: #ff9900;\"><strong>Role of notaries<\/strong><\/span><br \/>Notaries will be the ones allowed to issue the pre-attestation and the closing attestation after the introduction of the law. In the pre-attestation, the notary from the country where a company is leaving declares that the merger took place lawfully. In doing so, the notary has to perform a fraud test, in line with his gatekeeper function. If during this test it is found that the cross-border conversion, merger or demerger, has unlawful, fraudulent or criminal purposes, it is up to the notary to refuse his service and not issue the pre-attestation. If the fraud test is met, however, the notary from the destination country then certifies that all merger requirements have been met.<\/p>\n<\/div><\/div><\/div><\/div><\/div>\n","protected":false},"excerpt":{"rendered":"<p>Bill implementing cross-border conversions, mergers and divisions directive adopted by Lower House on the first day of June 2023.
